Terms of Service

These Terms are written for Run The List's B2B healthcare SaaS workflow. They should be reviewed by qualified legal counsel before relying on them as final legal terms.

1. Agreement and Contracting Party

These Terms of Service govern access to and use of Run The List, a healthcare workflow software platform for service lists, handoffs, patient list management, task tracking, printing, and related administrative workflows. By creating an account, accessing the platform, creating an organization workspace, accepting an invitation, or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization, residency program, hospital team, practice, or other entity you represent.

2. Organization Workspaces and Authorized Users

Run The List is provided to customer organizations and their authorized users. Organization administrators are responsible for creating and configuring workspaces, inviting appropriate users, assigning roles and service access, removing users who no longer need access, and ensuring that use of the platform is consistent with the organization's policies, contracts, and applicable law.

3. Authority to Use the Service

You may use Run The List only if you are authorized by your organization and legally permitted to do so. If you create a workspace or accept terms on behalf of an organization, you represent that you have authority to evaluate, administer, purchase, or use Run The List for that organization, or that you are acting under the direction of someone with that authority.

4. Account Security

You are responsible for maintaining the confidentiality of your login credentials, authentication codes, and devices used to access the service. You may not share accounts or credentials. You must promptly notify your organization administrator and Run The List if you believe your account has been compromised, used without authorization, or configured with incorrect access.

5. Acceptable Use

You may use Run The List only for lawful clinical, educational, administrative, and operational workflows authorized by your organization. You may not access data outside your assigned role, attempt to bypass access controls, scrape or reverse engineer the service, interfere with service operation, upload malicious code, perform unauthorized security testing, or use the service for unlawful, harmful, abusive, or unauthorized purposes.

6. Customer Data and Responsibility

The customer organization retains responsibility for the accuracy, legality, appropriateness, and clinical use of data entered into Run The List. Run The List does not independently verify patient demographics, diagnoses, medications, tasks, billing information, service assignments, discharge status, handoff notes, custom fields, or other content entered by users.

7. Clinical Disclaimer

Run The List is a workflow and handoff support tool. It is not the legal medical record, an electronic health record, a medical device, an emergency notification system, or a substitute for professional medical judgment. Users remain responsible for verifying information in appropriate source systems and with appropriate clinical personnel before making clinical, billing, discharge, transfer, or operational decisions.

8. HIPAA, PHI, and BAA Requirements

Run The List may be used with protected health information only after the customer organization has completed the required production activation steps, including any required Business Associate Agreement or equivalent written agreement. Trial or demo workspaces may be restricted to fictional, synthetic, or de-identified data. If a signed BAA or separate written agreement conflicts with these Terms for PHI-specific obligations, the signed BAA or separate written agreement controls.

9. No PHI in Non-Approved Channels

You must not submit protected health information or patient information through support emails, text messages, screenshots sent to Run The List, payment forms, billing portal fields, invoice notes, sales forms, demo requests, or other channels not approved for PHI. Customer organizations are responsible for training users on appropriate handling of PHI, screenshots, printed lists, exports, and shared devices.

10. Security and Availability

Run The List uses administrative, technical, and organizational safeguards designed to protect customer information, including access controls, audit-aware workflows, encryption in transit and at rest where supported by the infrastructure, and role-based permissions. No system can guarantee absolute security or uninterrupted availability. The service may be updated, modified, suspended, degraded, or interrupted from time to time for maintenance, security, operational, legal, or business reasons.

11. Fees, Trials, Subscriptions, and Taxes

If a paid plan is selected, fees, user counts, billing frequency, trial terms, renewal terms, taxes, cancellation terms, and subscription limits are governed by the selected plan, checkout flow, order form, invoice, or separate written agreement. Trial access, demo access, and limited setup mode may be modified, restricted, or terminated at any time. Unless a separate written agreement states otherwise, fees are non-refundable except as required by law or expressly approved by Run The List.

12. Payment Processing

Run The List uses Stripe and its affiliates as a third-party payment processor to process subscription payments, payment methods, invoices, taxes, receipts, billing portal access, and related payment services. By purchasing or maintaining a paid plan, you authorize Run The List and Stripe to process payment and billing information as needed for the selected plan. Run The List does not store full credit card numbers. Payment processing is also subject to Stripe's applicable terms, policies, and privacy practices. You must not submit protected health information or other patient information through Stripe payment forms, billing portal fields, invoice notes, or payment-related communications.

13. Suspension and Termination

Run The List may suspend or terminate access to the service, an organization workspace, or an individual user account if we reasonably believe there is a security risk, unauthorized access, misuse, nonpayment, violation of these Terms, violation of applicable law, or risk to the service, users, patients, or other customers. Upon termination, access to the service may stop, but provisions that by their nature should survive will survive, including payment obligations, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.

14. Intellectual Property and Feedback

Run The List and its licensors retain all rights in the service, software, design, branding, documentation, workflows, templates, and related technology. You may not copy, modify, reverse engineer, resell, sublicense, or commercially exploit the service except as expressly permitted. If you provide feedback or suggestions, Run The List may use them without restriction or compensation, provided we do not use your confidential information or PHI in doing so.

15. Third-Party Services

The service may rely on or link to third-party services, including cloud infrastructure, authentication providers, payment processors, analytics or operational tooling, and customer-configured integrations. Third-party services are governed by their own terms and policies. Run The List is not responsible for third-party services outside its control, but will handle customer information according to applicable agreements.

16. Confidentiality and Security Documentation

Security questionnaires, audit summaries, policies, architecture materials, and similar information provided by Run The List are confidential unless we state otherwise in writing. Customers may use those materials for internal vendor review, security review, legal review, and compliance purposes, but may not publicly disclose them or share them with unrelated third parties without permission except as required by law.

17. Disclaimers

To the maximum extent permitted by law, Run The List is provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, or that all defects will be corrected.

18. Limitation of Liability

To the maximum extent permitted by law, Run The List is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, loss of goodwill, business interruption, clinical workflow interruption, or costs of substitute services. Unless a separate written agreement states otherwise, Run The List's total liability for all claims relating to the service is limited to the amount paid to Run The List for the affected service during the three months before the event giving rise to the claim.

19. Indemnification

You and the customer organization agree to defend, indemnify, and hold harmless Run The List from claims, damages, liabilities, costs, and expenses arising from unauthorized use of the service, violation of these Terms, violation of applicable law, customer data entered into the service, misuse of PHI, or use of the service contrary to organization policy or required clinical workflows.

20. Governing Law and Disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of Texas, without regard to conflict of law rules. The parties will attempt in good faith to resolve disputes informally before filing a lawsuit. Any legal action that is not subject to a separate dispute process must be brought in a court with jurisdiction over the dispute, subject to any rights that cannot be waived by law.

21. Changes to Terms

Run The List may update these Terms from time to time. If changes are material, we will use reasonable efforts to provide notice through the service, by email, or by posting updated terms. Continued use after updated terms are made available constitutes acceptance of the updated terms unless a separate written agreement provides otherwise.
